NOTICE: The shares of common stock of PowerFilm Inc. (d/b/a PowerFilm Solar, the "Company") have not been registered under the Securities Act of 1933, as amended (the "Securities Act").
PowerFilm Solar and the transfer agent reserve the right to require advance payment of a processing fee for the transfer of shares and for the purchase of a surety bond for the replacement of lost or stolen certificates.
PowerFilm Solar has one class of common stock. By action of the board of directors taken on March 27, 2025, the Company removed the "RESTRICTED SECURITIES" legend and the requirements of the restricted securities legend from all shares of the Company. All shares of the Company are now unrestricted, provided however, that the shares of the Company may not be traded on a public exchange or otherwise in violation of the Securities Act.
By action of the board of directors taken on August 27, 2024, and pursuant to section 158 of the Delaware General Corporation Law, all shares of the Company issued after August 27, 2024, shall be held by book entry only, and no further certificates shall be issued.
When all new PowerFilm Solar shares are issued, the shareholder will receive a statement of shareholdings as required by law. A shareholder may request the delivery of the statement of shareholdings and other shareholder notices electronically, saving trees 🌳and inconveniencing only the bits and bytes ♻️.
